Terms & Conditions - Brand Manager
Licensing and Usage Rights
- By purchasing user generated content (UGC) through our platform (Brade Media, LLC hereafter Brade), Brand Managers acquire an exclusive, worldwide, perpetual, and irrevocable license to use the content for any and all marketing purposes.
- This license includes, but is not limited to, the right to reproduce, modify, distribute, display, and create derivative works from the purchased UGC.
- Brand Managers may use the purchased UGC across all media channels, including but not limited to social media, websites, print materials, television, and digital advertising.
Content Ownership and Creator Rights
- While Brand Managers acquire extensive usage rights, the original Content Creator retains the underlying copyright to the UGC.
- Brand Managers agree not to claim authorship or original ownership of the purchased UGC.
- Content Creators grant Brade the right to facilitate the sale and transfer of usage rights to Brand Managers.
Payment and Compensation
- Brand Managers agree to pay the specified price for each piece of UGC they choose to purchase through Brade, per the agreement, and payment is required prior to content download.
- All transactions are final, and refunds will only be issued in cases of demonstrable copyright infringement or misrepresentation of content ownership.
- Brade will retain a service fee from each transaction, with the remainder being paid to the Content Creator.
Content Usage Restrictions
- Brand Managers must not use the purchased UGC in any way that violates applicable laws or regulations.
- The purchased UGC may not be used to promote illegal activities, hate speech, or discriminatory content.
- Brand Managers are responsible for ensuring that their usage of the UGC complies with all relevant industry standards and regulations.
Indemnification and Liability
- Brand Managers agree to indemnify and hold harmless Brade and the Content Creators from any claims arising from their use of the purchased UGC.
- Our platform does not guarantee the uniqueness or exclusivity of the UGC beyond the scope of our service.
- Brand Managers are responsible for verifying that the UGC does not infringe on third-party rights before using it in their marketing campaigns.
Content Removal and Platform Rights
- Brade reserves the right to remove any UGC from our service at any time, though this will not affect the rights of Brand Managers who have already purchased the content.
- We maintain the right to feature purchased UGC in our own promotional materials to showcase successful transactions on our platform.
Termination of Service
- We reserve the right to terminate or suspend a Brand Manager's account for violations of these terms and conditions or for any other reason at our discretion.
- Upon termination, Brand Managers retain the rights to UGC they have already purchased but lose access to our platform and any unpurchased content. Dispute Resolution
- Any disputes between Brand Managers and Content Creators regarding the purchased UGC will be mediated through Brade.
- Brand Managers agree to participate in good faith in our dispute resolution process before pursuing any legal action.
By agreeing to these terms and conditions, Brand Managers acknowledge that they have read, understood, and agree to be bound by all the provisions outlined above. These terms ensure a clear understanding of the rights and responsibilities involved in purchasing and using UGC through our platform, protecting the interests of all parties involved.
